Terms and Conditions for purchasing Vinghen Ti1 and optional equipment

These general terms and conditions for purchase apply to all purchases made by End Customers through Vinghen’s website at www.vinghen.com

The Product(s), as described in clause 2, are made available for purchase through pre-order with the first orders expected to ship in June 2021 (see clause 5 for delivery information).

1. DEFINITIONS

Business Day(s): a day (other than a Saturday, Sunday or a public holiday) when banks in London are open for business. 
Conditions: the terms and conditions set out in this document.
Contract: the contract between Vinghen and the Customer for purchasing Vinghen Ti1, according to these Conditions.
Customer, buyer, you, your: the person who purchases the Goods or Services from us. 
Event Outside Our Control: means any unforeseeable, exceptional situation or event beyond the control of the Parties, which prevents either of them from fulfilling any of their obligations under the Terms, such situation or event not being attributable to error or negligence on the part of the respective Party and proven to be inevitable despite it having acted with due diligence;
Goods, Product(s): Vinghen Ti1 electric push-scooter that will be shipped in June 2021. 
Standard equipment: All equipment that is integral of Vinghen Ti1 and is included in its base price
Optional equipment:
All equipment that can be purchased at an additional price as seen in Appendix I
Withdrawal Period: The period defined in Clause 6
Order Confirmation:
Checkout:

Vinghen, we, us, our: means Vinghen LTD.Order: the customer’s pre-order or payment, via the Website.
Services: the services (or any part of them) set out in the Order. 
Website, Webpage: means www.vinghen.com

2. DESCRIPTION OF PRODUCT(S) AND OPTIONAL EQUIPMENT

Vinghen develops and sells the following Product(s) and optional equipment, as described on Our Website:

  • The electric push-scooter – Vinghen Ti1
  • The optional equipment:
    • Optional colour – a frame colour that is not part of the Standard Equipment.
    • Optional 500W motor – a 500W motor that replaces the 250W motor, part of the Standard Equipment.
    • Optional fenders – front and rear fenders.
    • Optional 15Ah battery – a 15Ah, 36V li-ion battery that replaces the 12Ah, 36V li-ion battery, part of the Standard Equipment


The combination of Product(s) and/or Optional Equipment in an Order is always subject to availability and Vinghen may, in its sole discretion, choose to offer the Product(s) and Optional Equipment both separately and in predetermined bundles on its Website.

3. CONTRACT FORMATION

These Terms, together with the Order Confirmation, form the Contract between the Customer and Vinghen, govern the purchase of Product(s) and/or Optional Equipment. The Customer is presented with these Terms prior to placing the order in the Website Checkout provided by PayPal. The Customer acknowledges and agrees to have read and understood these Terms before placing an Order and enter into a binding agreement with Vinghen when clicking the button “PayPal Checkout” or “Debit or Credit Card” in the Checkout.

On receipt of the Order Vinghen will send the Customer an e-mail confirming receipt of the Order and stating the details of the Order. Please note that the Confirmation of Receipt does not constitute a declaration of acceptance of the Customer’s contractual offer but serves for information purposes only. All Orders are subject to acceptance by Vinghen at its discretion. If Vinghen refuses to accept an Order, it shall inform the Customer of such refusal by e-mail within five Business Days after the order was submitted. If the Order is refused, Vinghen is not responsible for any loss or delay arising out of such refusal. Vinghen will issue a full refund to the customer within 48 hours of refusing the order.

Vinghen will accept the Order either by sending an acceptance notice or by dispatching the Product(s) and Optional Equipment ordered.

4. PRICE AND PAYMENT TERMS

The price per unit of the Product is displayed on the “Vinghen Ti1 Launch Offer”page of the Website. The total purchase price for the Product is displayed during checkout.

The Product is paid in advance and otherwise in accordance with the payment option chosen by the Customer in the ordering process. All prices are quoted in local currency or EUR (€), and where applicable include custom duties and value added tax. Delivery cost to EEA continental territories is included in the price of the Product.

A pricelist of the Optional Equipment is available in Appendix I of these Terms.

Once a Customer places an Order he/she will be contacted by Us to specify the configuration of their product within two Business Days after the Order was placed. Should they wish to add any Optional Equipment to their Order, this will be paid additionally via PayPal, credit/debit card or bank transfer.

Vinghen is not responsible for any fees that your bank or payment provider may charge you for the use of your credit card or payment method. After the order is placed and payment provided, a confirmation that the Purchase is completed will be sent to the e-mail address provided by the Customer in the ordering process.

5. DELIVERY

The cost of shipping is included in the Product(s) price. The estimated delivery date is stated in the ordering process.

The delivery date will depend on completion of Product(s) and/or Optional Equipment, the delivery point, as well as the time of payment. The Customer acknowledges that changes and/or delays to the estimated dispatch and delivery date may occur. Vinghen will keep you duly noted of any changes impacting the delivery of your pre-ordered Product(s) and/or Optional Equipment. Vinghen shall not be held liable for delays in the estimated delivery date in the pre-order.

The Product(s) and/or Optional Equipment will be delivered to the delivery address specified in “Shipping Address” in the Checkout or provided through other payment profiles, e.g. PayPal. The Customer is responsible for providing the correct address in the ordering process, this address cannot be a PO Box or similar. Vinghen shall not be liable for any loss resulting from the Customer’s failure to provide the correct delivery address. The Customer may change the delivery address prior to shipment of the Goods by contacting Us via e-mail at sales@vinghen.com

Delivery has occurred when the Customer, or their representative, has taken possession of the Goods, in accordance with the chosen shipping option. If the Goods are not collected or received on time or at first attempt of delivery, and if this is due to the Customer or circumstances related to the Customer, the risk passes to the Customer when the item is at his disposal and the failure to take possession of the Goods constitutes a breach of contract by the Customer.

The failure to take possession of shipped Goods constitutes a breach of contract by the Customer. Vinghen reserves the right to charge the Customer for extra shipment, storage and handling costs due to Customer’s failure to (i) collect the Goods in time or (ii) contribute as needed for the delivery to occur.

6. CANCELLATION OF PRE-ORDER

The Customer may cancel the Order made in the Pre-Order as long as the request is made prior to shipment. Vinghen will send a notice of shipment approx. 14 days before the Goods ship. If the Customer chooses to cancel the Order prior to shipment, the Customer is entitled to a full refund. Vinghen will process refunds within ten business days.

Vinghen reserves the right to cancel your Order before the shipment date at Vinghen’s own discretion. In the event of such cancellation, Vinghen will refund the full purchase price within 48 hours.

You are not required to provide a reason for the cancellation. If you wish to cancel, you may do so by e-mail to sales@vinghen.com. Cancellation requests sent after shipment are not eligible for a refund under this clause.

7. THE RIGHT OF WITHDRAWAL

The Customer may withdraw from this Contract within 30 days of delivery, subject to the conditions in this clause.

You are not required to provide any reason for the withdrawal, however, all ordered and delivered Goods shall be included in your return and be in like-new (undamaged) condition to be eligible for a full refund. If, on return to us, it is determined that the Goods (i) are damaged, (ii) been subject to unauthorized modification, and/or (iii) are not in a resalable condition and/or are missing components, an amount equal to the estimated value loss, may at Vinghen’s sole discretion be deducted from the amount of Customer’s refund. Damage covered by the Limited Warranty is not subject to such reduction.

If the Customer wishes to withdraw from the Contract, the Customer must notify Vinghen by e-mail to sales@vinghen.com within 30 days of delivery. Vinghen will send confirmation of received notice without undue delay and the Customer will then receive further return instructions. The Customer must then complete the return steps as requested by Vinghen. After the Customer has notified Vinghen of its intent to return, all Goods must be returned, at Customer’s risk, within 14 days in safe and satisfactory packaging, to be eligible for a full refund. Any return(s) failing to follow these instructions are not eligible for a refund. Vinghen reserves the right to charge the Customer a shipping and handling fee.

Any request to withdraw from the Contract received after 30 days of delivery are automatically rejected and will not qualify for a refund.

If you received any promotional or other discount when you paid, any refund will only reflect the amount you actually paid. Refunds under this clause are made using the same method originally used by you to pay for your purchase.

8. LIMITED WARRANTY/GUARANTEE

In the event of the purchase of a new Vinghen Ti1, in addition to the Client’s statutory warranty claims, Vinghen gives the Client a limited 3-year guarantee that the Products are free from defects in workmanship and materials. 

This limited guarantee is expressly limited to the replacement of a defective frame, or defective parts, which is the sole remedy under this limited guarantee. This guarantee applies to the original owner and is transferable for the remaining period in the event of a new owner having purchased the Product.

Claims under the limited guarantee must be made directly to us via e-mail at warranty@vinghen.com, whereby proof of the purchase is required. The replacement of fenders is not covered by the limited guarantee. In the event You need a replacement of fenders, We will send You ones for an additional fee.

This limited guarantee does not cover normal wear and tear, improper assembly or follow-up maintenance, or installation of parts or accessories. The limited guarantee does not apply to damage or failure due to accident, misuse, abuse, or neglect. Modification of the frame or components shall void this limited guarantee. Vinghen is not responsible for incidental or consequential damages. This limited guarantee does not affect the statutory warranty rights of the Client.

The incorporated battery of the scooter is tested and should perform over 600 charge cycles before it falls below 70% of its original total capacity during the term of the limited guarantee. 

9. END-USER CUSTOMERS ONLY

Vinghen sells and ships Goods to end-user Customers only. The Customer may not purchase Goods from Vinghen for resale, and Vinghen reserves the right to refuse, cancel or delay the Customer’s order if there are reasonable grounds to believe the Goods are not being purchased for end use.

If a customer would like to purchase Goods for business use and/or on behalf of a business entity, he/she shall contact Vinghen at sales@vinghen.com

10. SELLER’S RIGHT IN THE EVENT OF DEFAULT AND/OR BREACH BY THE CUSTOMER

In the case of non-payment under Clause 4 or other breach by the Customer, including if a payment is rejected by the payment agent or the Customer’s bank or if a payment is disputed or recalled by the Customer’s bank, etc., Vinghen will retain the goods until payment is completed.

Vinghen may cancel the purchase due to late payment or other breach of contract if the breach of contract is material. A payment delay exceeding 30 days is considered to be a material breach of contract.

11. MISCELLANEOUS

You may not transfer or assign any or all of your rights or obligations under any Contract.

All notices given by you to us must be given in writing to the e-mail set out at the end of these terms. We may give notice to you at either the email or postal address you provide to us when placing an order.

If we fail to enforce any of our rights, that does not result in a waiver of that right.

If any provision of these terms is found to be unenforceable, all other provisions shall remain unaffected.

If any of the provisions of the Agreement are for any reason declared by judgment of a court of competent jurisdiction to be unenforceable or ineffective, those provisions shall be deemed severable from the other provisions of the Agreement and the remainder of the Agreement shall remain in full force and effect.

Vinghen reserves the right to change these terms and conditions at any time prior to purchase. Any such changes will take effect when posted on Our Website.

12. PERSONAL DATA

Vinghen is responsible for processing the personal data provided by the Customer in relation to the purchase of the Goods.

Further information on personal data processing by Vinghen is available in Vinghen’s Privacy Policy on Our Website.

13. COMPLAINTS, DISPUTE RESOLUTION AND APPLICABLE LAW

These Terms and the purchase of the Goods shall be governed by and construed in accordance with the laws of England.

If the Customer is dissatisfied with or wishes to make a complaint in relation to the Goods, Vinghen may be contacted by use of an electronic form on our webpage or by e-mail at contact@vinghen.com

If a Customer wishes to obtain an additional copy of the Terms that the customer has accepted, Vinghen will submit this to the Customer upon request.
